Terms of Service

These Terms of Service (“Terms”) govern your participation in the Setorio beta program. The Service is operated by Roberto Dekker, trading as Setorio, a Dutch eenmanszaak registered with the Kamer van Koophandel under number 91736838, based in Diemen, the Netherlands (“Setorio”, “we”, “us”).

By creating an account or accessing the Service, you (“you” or “Customer”) agree to these Terms. The Service is currently in beta — it is free of charge, invite-only, and provided without any payment obligations.

1. Definitions

• “Service” means the Setorio web application available at app.setor.io, including all beta features made available to you.
• “Beta Program” means the invite-only, free-of-charge testing phase of the Service described in these Terms.
• “Customer Content” means any data, information, or content you upload, store, or create within the Service, including data about your own clients.
• “End Client” means a third party whose data you enter into the Service as part of your use of the platform.

2. Beta Access

Access to the Beta Program is by invitation only. Setorio grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for the duration of the Beta Program, free of charge, for the sole purpose of testing and providing feedback.

Setorio may revoke or modify your access at any time and for any reason without notice or liability.

3. No Warranties — Beta Disclaimer

The Service is provided “as is” and “as available” without any warranty of any kind. As a beta product, the following limitations apply:

• No uptime guarantee. The Service may be unavailable, slow, or unstable at any time.
• Features may change, be removed, or behave unexpectedly.
• Data integrity is not guaranteed. You are responsible for maintaining your own backups of any data you enter into the Service.
• Bugs, errors, and incomplete functionality are expected and inherent to beta software.

Setorio explicitly excludes all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

4. Acceptable Use

You agree not to use the Service to:

• Upload or store content that is unlawful, fraudulent, or infringes third-party rights.
• Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
• Use automated tools or bots to access the Service in a way that impairs its performance.
• Resell, sublicense, or make the Service available to third parties.
• Use the client portal feature to deceive or mislead your End Clients.

Violation of this section is grounds for immediate termination of your access.

6. Intellectual Property

All intellectual property rights in the Service (software, design, trademarks, documentation) belong to Setorio. These Terms do not transfer any ownership rights to you.

If you provide feedback, suggestions, or ideas about the Service, you grant Setorio a perpetual, royalty-free license to use that feedback to improve the Service, without any obligation to compensate you.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Setorio shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service, including loss of data, loss of profits, or business interruption.

Because the Beta Program is provided free of charge, Setorio's total aggregate liability to you for any claim arising under these Terms shall not exceed EUR 100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Dutch law.

8. Term and Termination

These Terms apply from the date you first access the Service until terminated.

You may stop using the Service at any time. To delete your account and data, contact support@setor.io.

Setorio may terminate or suspend your access at any time, including at the end of the Beta Program, without notice or liability. When the Beta Program ends, Setorio will communicate next steps regarding any transition to a paid product.

Sections 3, 5.4, 6, 7, 9, and 10 survive termination.

9. Changes to These Terms

Setorio may update these Terms at any time during the Beta Program. We will notify you via email or in-app notification. If you do not agree to the updated Terms, your only recourse is to stop using the Service.

10. Governing Law

These Terms are governed by Dutch law. Any disputes shall be submitted to the competent court in Amsterdam, the Netherlands. The parties will first attempt to resolve any dispute informally by contacting support@setor.io.
